Letshego Africa Nears Deal to Exit Select African Markets

Letshego Africa Holdings Limited has confirmed it is in the final stages of negotiations with an unnamed counterparty for the sale of assets across East and West Africa, raising fresh questions about the future of its operations in Ghana, Nigeria, Uganda, Rwanda, and Tanzania.

The Botswana-listed microfinance group issued a cautionary announcement update on 23 March 2026, informing shareholders that exclusive talks with the potential buyer had advanced significantly since the most recent notice published on 9 March 2026 on XNews, the Botswana Stock Exchange (BSE) regulatory platform.

The company, which trades on the BSE under the code LETS-EQO, cautioned that no binding agreement had been reached and that any concluded transaction would remain subject to regulatory approvals and the relevant disclosure requirements of the BSE Equity Listings Requirements.

“A corporate transaction, if concluded, may have a material effect on the price of the Company’s securities,” the board stated, urging shareholders to exercise caution when dealing in Letshego Africa shares.

The announcement comes weeks after the group disclosed a widened full-year loss of BWP235.5 million for 2025, a result heavily shaped by International Financial Reporting Standards (IFRS) 5 valuation adjustments applied to subsidiaries classified as held for sale. Ghana was among the markets explicitly identified in that disclosure, alongside Tanzania, Uganda, Rwanda, and Nigeria.

Letshego Ghana Savings and Loans PLC, which is separately listed on the Ghana Stock Exchange (GSE), reported a profit after tax of GHS 71.1 million for the nine months to September 2025, even as its non-performing loan (NPL) ratio remained elevated at 25.6 percent, well above the Bank of Ghana’s (BoG) 10 percent regulatory cap.

The board reiterated that all group and subsidiary businesses continue to operate without interruption while negotiations proceed.
