AngloGold Ashanti Moves to Buy Back Up to US$650 Million of Its Own Debt

AngloGold Ashanti plc (AGA), one of the world’s largest gold producers, launched capped cash tender offers on Monday to repurchase up to $650 million of three series of outstanding bonds, signalling a shift toward active balance sheet management following a record financial year.

The offer, announced by AngloGold Ashanti Holdings plc, the Isle of Man-incorporated subsidiary that issued the notes, targets the company’s 3.375 percent notes due 2028, its 3.750 percent notes due 2030, and its 6.500 percent notes due 2040. The three series together represent $1.75 billion in outstanding principal, comprising $750 million in 2028 notes, $700 million in 2030 notes, and $300 million in 2040 notes.

The total repurchase is capped at $650 million across all three series, with an additional sub-cap of $50 million applied specifically to the 2040 notes. Acceptance will follow a priority ranking, with the 2028 notes given first priority, the 2030 notes second, and the 2040 notes third. Holders who tender their notes by 5:00 p.m. New York City time on April 13, 2026, qualify for the full consideration price, which includes an early tender payment of $50 per $1,000 principal amount. Those tendering after that date but before the offer expires on April 28, 2026, will receive the full consideration minus the early payment. Settlement for early tenders is expected on April 16, while final settlement is targeted for May 1, 2026.

The move follows a string of major corporate disclosures this month. AngloGold Ashanti delivered record free cash flow of $2.9 billion in 2025, driven by production growth, cost discipline, and a higher average gold price. With that financial strength as a backdrop, retiring a portion of lower-coupon debt issued in 2020 and 2021, when interest rates were near historic lows, reflects a preference for managing the group’s debt maturity profile while cash flows remain strong.

Citigroup Global Markets Limited and Goldman Sachs and Co. are acting as dealer managers for the offers. Kroll Issuer Services Limited is serving as the information and tender agent.

AngloGold Ashanti trades on the New York Stock Exchange under the ticker AU, on the Johannesburg Stock Exchange under the ticker ANG, and maintains listings of its ordinary shares and Ghanaian depositary shares on the Ghana Stock Exchange. The company operates the Iduapriem mine in Ghana’s Western Region, making it one of the country’s most significant gold producers.
